Terms of Service

These Terms of Service govern access to and use of the Klienz platform, operated by SekinSoft (RIF: J-502322744), headquartered in Maracaibo, Venezuela. By accessing or using Klienz, you accept these terms in their entirety.

1. Acceptance

By creating an account, accessing or using any functionality of Klienz, you confirm that you have read, understood and accepted these Terms of Service and our Privacy Policy. If you do not agree with any of these terms, you must not use the platform. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of the Service

Klienz is a cloud-based CRM (Customer Relationship Management) that enables businesses and sales teams to:

• Centralize and manage WhatsApp and Telegram conversations from a unified interface.
• Organize contacts, leads and customers in visual sales pipelines.
• Create and manage invoices, business proposals and projects.
• Collaborate as a team with configurable roles and permissions.
• Automate repetitive tasks and obtain performance reports.

SekinSoft reserves the right to modify, suspend or discontinue features of the service, providing users with reasonable advance notice whenever possible.

3. Registration and Accounts

To use Klienz you must create an account by providing truthful and up-to-date information. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.
• Notifying SekinSoft immediately of any unauthorized use of your account.
• Keeping your profile and billing information up to date.

SekinSoft reserves the right to suspend or cancel accounts that violate these terms or that remain inactive for an extended period, subject to prior notice to the account holder.

4. Plans and Payments

Klienz offers the following subscription plans with monthly billing:

Payment terms:

• Payments are made in advance at the beginning of each billing cycle (monthly or annual).
• Annual plans offer a discount of approximately 20% off the monthly price.
• Prices are stated in United States dollars (USD) and do not include taxes applicable in your jurisdiction.
• SekinSoft reserves the right to adjust prices with at least 30 days' prior notice before renewal.
• In the event of non-payment, access to the service may be restricted or suspended until the account is brought current.

5. Acceptable Use

By using Klienz, you agree not to:

• Send spam, unsolicited bulk messages or illegal content through the platform.
• Use Klienz for fraudulent or deceptive activities, or activities that violate applicable laws.
• Attempt to gain unauthorized access to other users' accounts or to the platform's infrastructure.
• Reverse engineer, decompile or attempt to extract the platform's source code.
• Intentionally overload the servers or interfere with the normal operation of the service.
• Resell, sublicense or redistribute access to Klienz without the written authorization of SekinSoft.
• Violate the usage policies of WhatsApp, Telegram or other integrated platforms.

Failure to comply with these conditions may result in the immediate suspension or cancellation of your account, without the right to a refund.

6. Intellectual Property

The Klienz platform, including its software, design, logos, text, graphics and other materials, is the exclusive property of SekinSoft and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable and revocable license to use the platform in accordance with these terms.

The data, contacts, messages and content you store in Klienz remain your property. SekinSoft claims no ownership rights over user content and accesses such data only as described in our Privacy Policy.

7. Limitation of Liability

Klienz is provided "as is" and "as available." SekinSoft does not warrant that the service will be uninterrupted, error-free or completely secure. To the maximum extent permitted by law:

• SekinSoft shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from the use of, or inability to use, the platform.
• SekinSoft's total liability shall not exceed the amount paid by the user during the 12 months preceding the event giving rise to the claim.
• SekinSoft is not responsible for data loss caused by user actions, third-party failures or force majeure circumstances.
• SekinSoft is not responsible for interruptions or changes to the APIs of WhatsApp, Telegram or other integrated third-party services.

8. Termination

Either party may terminate the service relationship:

• By the user: you may cancel your subscription at any time from your account settings. Access will remain available until the end of the billing period already paid.
• By SekinSoft: we may suspend or cancel your account if you violate these terms, with prior notice whenever possible.

Following termination, you will have 30 days to export your data. After that period, SekinSoft may permanently delete the information associated with your account.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela. Any dispute arising from these terms shall be submitted to the jurisdiction of the competent courts of the city of Maracaibo, Zulia State, Venezuela. The parties agree to exhaust mediation and conciliation mechanisms before resorting to judicial proceedings.
