Services Agreement

1. Parties and Purpose
This Service Agreement is entered into by and between SekinSoft ("the Provider"), owner of the Klienz platform, and the individual or legal entity that accepts this agreement ("the Customer"). Its purpose is the provision of the Klienz software-as-a-service (SaaS) offering: a CRM with integrated WhatsApp, Telegram and Meta messaging.
2. Service Options
The service is offered under two options: (a) a free fourteen (14) day trial, limited to one (1) user, one hundred (100) contacts and one (1) WhatsApp account, at no cost and with no payment obligation; and (b) a paid service, by subscription according to the plan purchased.
3. License to Use
The Provider grants the Customer a non-exclusive, non-transferable and revocable license to use the platform, limited to the term of the service.
4. Obligations of the Parties
The Provider undertakes to keep the platform available with reasonable diligence. The Customer undertakes to use the service in accordance with the law, not to send unsolicited messages (spam), and to comply with the policies of Meta and WhatsApp Business.
5. Processing of Personal Data
The processing of personal data is governed by the Provider's Privacy Policy, available at https://klienz.sekinsoft.com/privacidad.html, which forms an integral part of this agreement. The Customer is responsible for the data of its own contacts uploaded to the platform.
6. Data Deletion
The Customer may request the deletion of its data in accordance with the procedure published at https://klienz.sekinsoft.com/eliminar-datos.html. The Provider will delete the personal data within thirty (30) days following a valid request, unless it is legally required to retain it.
7. Intellectual Property
The platform, its design, code and trademarks are the property of SekinSoft. The Customer acquires no intellectual property rights whatsoever in the platform.
8. Limitation of Liability
The service is provided "as is," without warranties of any kind. The Provider shall not be liable for any indirect, incidental or consequential damages arising from the use of the service.
9. Confidentiality
Each party shall keep confidential any non-public information of the other party to which it has access in connection with this agreement.
10. Term and Termination
The trial option terminates automatically after 14 days. The paid option remains in effect for as long as the subscription is active. Either party may terminate the service in accordance with applicable law.
11. Compliance with Third-Party Policies
The Customer undertakes to comply with the policies of the WhatsApp Business Platform and Meta. Non-compliance may result in the suspension of the service.
12. Governing Law and Jurisdiction
This agreement is governed by the laws of the Bolivarian Republic of Venezuela, in particular the Constitution of the Bolivarian Republic of Venezuela, the Organic Law on Personal Data Protection and other applicable regulations. The parties submit to the jurisdiction of the competent courts of SekinSoft's domicile, waiving any other venue.
